Platform Intermediation Agreement

A legal entity or authorized natural person acting on behalf of a legal entity, registered on the Platform.
2. SUBJECT OF THE AGREEMENT
This Agreement determines the conditions of intermediation services provided through the KURUMSAL+ platform and the rights and obligations of the parties.
The Platform operates as an Electronic Commerce Intermediary Service Provider ("ETAHS") under Law No. 6563 on the Regulation of Electronic Commerce ("ETK") and as a hosting provider under Law No. 5651.
3. NATURE AND SCOPE OF INTERMEDIATION
3.1 The Platform is not a direct contract party between buyer and seller; it provides an electronic meeting environment, auction management infrastructure, and intermediation services. 3.2 Services provided within the scope of intermediation: member registration and approval process management; auction creation, publication, and bid collection infrastructure; reverse auction mechanism and bid management; auction finalization and winner determination infrastructure; secure communication channels between members; reputation/scoring system; and reporting and analytics tools. 3.3 The Platform is not a party to contracts between Members, is not obligated to verify information provided by Members (ETK Art. 9/3), and cannot be held responsible for defective goods or services.4. PLATFORM OBLIGATIONS
4.1 The Platform has the following obligations under ETK and Law No. 5651: taking necessary measures within legal timeframes upon becoming aware of illegal content; retaining access logs for at least 2 years; fulfilling ETBIS registration and notification obligations; providing or directing secure payment infrastructure; and maintaining reasonable technical security and uninterrupted accessibility. 4.2 The Platform may temporarily suspend service for technical maintenance, updates, or force majeure. Planned maintenance is communicated in advance when possible. 4.3 The Platform maintains its impartiality in auction processes and does not provide preferential treatment to any auction or Member.5. MEMBER OBLIGATIONS
5.1 The Member is directly responsible for all activities and transactions on the Platform. 5.2 The Member undertakes to use the Platform only for commercial (B2B) purposes and in compliance with Turkish law. 5.3 The Member represents that all information and documents provided are accurate, current, and complete. 5.4 The Member agrees to keep commercial information obtained through the Platform confidential and use it only within the scope of auction processes. 5.5 The Member undertakes not to bypass the Platform's intermediation service. Penalty clauses in the Terms of Use apply in case of bypass.6. FEES AND COMMISSION
6.1 Fees for the Platform's intermediation service are based on membership packages specified in the Terms of Use. 6.2 The Platform reserves the right to charge additional commission on auction transaction amounts. Commission rates are communicated to Members before taking effect.7. LIMITATION OF LIABILITY
7.1 The Platform's total liability arising from intermediation services shall not exceed the total service fees collected from the relevant Member in the preceding 12 months. 7.2 The Platform shall not be liable for indirect damages, lost profits, data loss, or reputational damage. 7.3 The Platform may offer optional mediation support in disputes between Members but has no binding decision-making authority.8. TERMINATION
8.1 This Agreement enters into force together with the Terms of Use and is bound by its term. 8.2 Termination of the Terms of Use automatically terminates this Intermediation Agreement.9. GOVERNING LAW
This Agreement is governed by the laws of the Republic of Turkiye. Ankara Courts and Execution Offices have exclusive jurisdiction.
